Acceptance of Terms

By accessing and using the services provided by NovaInformium B.V. ("NovaInformium", "we", "our", or "us"), including our website, fitness facilities, and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and NovaInformium B.V., a company registered in the Netherlands under registration number NL56473823, with its principal place of business at Parkweg 218, 9733 XD Groningen, Netherlands.

Services Description

NovaInformium operates a fitness studio providing various services including but not limited to:

• Gym and fitness facility access
• Personal training services
• Group fitness classes
• Nutrition guidance and consultation
• Specialised fitness programmes
• Related fitness and wellness services

Membership and Registration

To access our services, you must register for membership and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

Membership fees are due in advance and are non-refundable except as specifically provided in these Terms or required by law. We reserve the right to modify membership fees with reasonable notice.

User Responsibilities and Conduct

As a user of our services, you agree to:

• Use our facilities and services in a safe and responsible manner
• Follow all posted rules and regulations within our facilities
• Respect other members, staff, and property
• Provide accurate health and medical information when requested
• Comply with all applicable laws and regulations
• Not engage in any disruptive or inappropriate behaviour
• Maintain personal hygiene standards appropriate for a fitness environment

You agree not to:

• Use our services for any unlawful purpose
• Damage or misuse our equipment or facilities
• Harass, intimidate, or discriminate against other users or staff
• Bring unauthorised guests or allow others to use your membership
• Record or photograph others without explicit consent
• Distribute promotional materials without written permission

Health and Safety

Your health and safety are paramount. By using our services, you acknowledge that:

• Physical exercise involves inherent risks of injury
• You are in suitable physical condition to participate in fitness activities
• You will inform us of any medical conditions that may affect your ability to exercise safely
• You should consult with a healthcare provider before beginning any new fitness programme
• You will use equipment properly and follow safety guidelines

We reserve the right to refuse service or terminate membership if we believe your participation poses a risk to yourself or others.

Intellectual Property

All content, materials, and intellectual property associated with NovaInformium, including but not limited to our website, training programmes, logos, trademarks, and proprietary methods, are owned by or licensed to NovaInformium and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our intellectual property without explicit written permission. Any unauthorised use of our intellectual property may result in termination of your membership and legal action.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Payment Terms

Payment for services is due in advance according to your chosen membership plan. We accept various payment methods as indicated during registration. You authorise us to charge your designated payment method for all applicable fees.

If payment is declined or fails, we reserve the right to suspend your access to services until payment is resolved. Additional fees may apply for failed payments or account reinstatement.

Cancellation and Refunds

Membership cancellations must be submitted in writing with at least 30 days' notice. Cancellations are effective at the end of your current billing cycle. Prepaid fees are generally non-refundable except in cases of serious illness, injury, or relocation, subject to documentation and approval.

We reserve the right to terminate memberships immediately for violations of these Terms, non-payment, or behaviour that compromises the safety or experience of other members.

Limitation of Liability

To the fullest extent permitted by law, NovaInformium and its officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to personal injury, property damage, or loss of data.

Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount you paid for services in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you to the extent prohibited by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless NovaInformium and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from or related to your use of our services, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable consumer protection laws.

Dispute Resolution

We encourage you to contact us directly to resolve any disputes or concerns. If direct negotiation is unsuccessful, disputes may be resolved through mediation or arbitration as permitted by Dutch law, before resorting to court proceedings.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services ceases immediately, and you must return any property belonging to NovaInformium.

Termination does not relieve you of any obligations incurred prior to termination or affect any rights or remedies that may have accrued prior to termination.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and NovaInformium regarding your use of our services and supersede all prior or contemporaneous communications and proposals.
